These Puppy Sphere Membership Terms & Conditions (the “Terms”) govern the purchase, enrollment, renewal, use, suspension, cancellation, and termination of the Puppy Sphere membership program (the “Membership Program”) offered by Doggos Events Inc. and Puppysphere LLC., operating as “Puppy Sphere” (“Puppy Sphere,” “Company,” “we,” “us,” or “our”).

By purchasing, activating, enrolling in, or using a Membership, you agree to be bound by these Terms and by Puppy Sphere’s other applicable terms, waivers, policies, and rules, including our general terms of service, booking policies, cancellation policies, class rules, health and safety requirements, animal handling rules, and privacy policy, each as updated from time to time (collectively, the “Company Policies”). To the extent permitted by law, the Company Policies are incorporated into these Terms by reference.

If you do not agree to these Terms, you must not purchase, enroll in, or use a Membership.

1. Definitions

In these Terms:

“Account” means the online customer account used to purchase, manage, access, and use a Membership.

“Billing Cycle” means the recurring monthly billing period measured from the Membership Start Date. Each subsequent Billing Cycle begins on the same numerical day of each calendar month, or, if a month does not contain that day, on the last day of that month or such other commercially reasonable equivalent date selected by Puppy Sphere.

“Class” means an eligible Puppy Sphere class, session, event, or other experience designated by Puppy Sphere as bookable using Membership Credits.

“Commitment Plan” means a Membership option requiring a minimum subscription commitment for a fixed number of monthly Billing Cycles, including a 3-Month Commitment Plan and a 6-Month Commitment Plan.

“Credits” or “Membership Credits” means the booking credits allocated to a Member under the applicable Membership Tier and used to reserve eligible Classes.

“Flexible Plan” means a month-to-month Membership with no minimum multi-month commitment beyond the then-current Billing Cycle.

“Guest Support” means Puppy Sphere’s designated support channel or channels for customer service, account assistance, cancellation requests, pause requests, and other Membership-related inquiries.

“Member” means the individual in whose name the Membership is purchased, billed, and maintained.

“Membership” means the subscription purchased by a Member under the Membership Program.

“Membership Start Date” means the date on which the initial Membership purchase is completed and the first Membership fee is successfully charged, unless Puppy Sphere expressly states a different start date at checkout.

“Membership Tier” means the tier of Membership selected by the Member, including Mini, Core, or Max, together with its applicable pricing, Credits, discounts, and benefits.

“Renewal Term” means the applicable recurring term after the initial term of a Membership, as described in Section 5.

2. Membership Program 

The Membership Program is a recurring paid subscription program that provides Members with access to certain recurring benefits in exchange for the payment of Membership fees.

Puppy Sphere currently offers the following Membership tiers:

  • Mini

  • Core

  • Max

Each Membership Tier includes a designated number of Credits per Billing Cycle and may also include discounts, early access, priority booking, special offers, or other benefits, in each case as described at checkout, on the Puppy Sphere website, in the Account interface, or in other Membership materials made available by Puppy Sphere.

At the time of purchase, the Member must select one of the following plan types:

  • Monthly

  • 3-Month Commitment Plan

  • 6-Month Commitment Plan

Pricing, Credits, benefits, and eligibility rules may vary by Membership Tier, city, studio, promotion, channel, and plan type. The Membership details presented at checkout form part of these Terms.

Membership benefits are personal, limited, revocable, conditional, non-transferable, and have no cash value except where required by applicable law.

3. Eligibility

A Membership may only be purchased by an individual who is at least eighteen (18) years old and legally capable of entering into a binding agreement.

If Puppy Sphere allows participation by a minor in any Class or event, any Membership connected to that participation must be purchased, maintained, and administered by the minor’s parent or legal guardian, who remains fully responsible for payment obligations, compliance with these Terms, and compliance with all Company Policies.

Puppy Sphere may require proof of age, identity, authority, or eligibility at any time and may suspend or terminate a Membership if eligibility requirements are not satisfied.

4. Account Registration and Account Security 

To access or manage certain Membership features, you may be required to create and maintain an Account.

You agree to provide current, complete, and accurate information and to update your information promptly if it changes.

You are responsible for:

  • maintaining the confidentiality of your login credentials,

  • restricting unauthorized access to your Account,

  • all activities conducted through your Account, whether or not authorized by you, except to the extent caused solely by Puppy Sphere’s own fault, and

  • notifying Puppy Sphere promptly if you suspect unauthorized access, misuse, theft of credentials, or any other security breach.

You may not share your Account credentials or permit another person to use your Account or Membership. Puppy Sphere may rely on the activity conducted through your Account as activity authorized by you unless and until you notify Puppy Sphere otherwise.

Puppy Sphere reserves the right to suspend or restrict access to any Account where we reasonably suspect unauthorized use, fraud, abuse, or breach of these Terms.

5. Plan Types, Initial Term, Renewal, and Auto-Renewal 

5.1 Monthly Plan

A Flexible Plan begins on the Membership Start Date and continues on a month-to-month basis. It automatically renews for successive monthly Renewal Terms unless cancelled in accordance with these Terms.

5.2 3-Month Commitment Plan

A 3-Month Commitment Plan begins on the Membership Start Date and includes a minimum initial commitment of three (3) consecutive monthly Billing Cycles. After the initial 3-month commitment period ends, the Membership will automatically renew for successive additional 3-month Renewal Terms, unless cancelled in accordance with these Terms before the next Renewal Term begins.

5.3 6-Month Commitment Plan

A 6-Month Commitment Plan begins on the Membership Start Date and includes a minimum initial commitment of six (6) consecutive monthly Billing Cycles. After the initial 6-month commitment period ends, the Membership will automatically renew for successive additional 6-month Renewal Terms, unless cancelled in accordance with these Terms before the next Renewal Term begins.

5.4 Express Auto-Renewal Consent

By purchasing a Membership, you expressly request and authorize Puppy Sphere to charge your payment method automatically:

  • on the Membership Start Date for the first billing period, and

  • thereafter on a recurring basis at the beginning of each Billing Cycle or Renewal Term, as applicable,

until the Membership is properly cancelled or terminated under these Terms.

You acknowledge that:

  • your Membership has an automatic renewal feature,

  • recurring charges will continue unless and until you cancel in accordance with these Terms,

  • the amount charged may change if pricing changes are implemented in accordance with these Terms, and

  • Commitment Plans continue through the full applicable commitment period and any subsequent Renewal Term unless timely cancelled.

5.5 Renewal Reminders / Notices

Where required by applicable law, Puppy Sphere will provide renewal notices, price-change notices, or other pre-renewal disclosures in the manner and within the time required by law. Where law does not require a notice period, Puppy Sphere may still provide reminder notices at its discretion.

6. Fees, Billing, Taxes and Payment Authorization 

Membership fees are charged in accordance with the selected Membership Tier and plan type shown at checkout.

Unless otherwise stated at checkout:

  • Memberships are billed monthly,

  • the first charge occurs on the Membership Start Date,

  • each later charge occurs on the first day of each new Billing Cycle, and

  • all charges are made in the currency applicable to the place of purchase.

By enrolling, you authorize Puppy Sphere and its payment processors to store your payment credentials and charge your payment method for:

  • recurring Membership fees,

  • applicable taxes,

  • approved add-ons,

  • permitted fees associated with failed payments, chargebacks, or collection costs, to the extent allowed by law, and

  • other amounts you expressly authorize.

You are responsible for ensuring that your payment information remains current, valid, and capable of accepting charges.

All fees are exclusive of applicable taxes unless expressly stated otherwise. You are responsible for all applicable sales, use, value-added, goods and services, harmonized sales, or similar taxes associated with your Membership, except taxes imposed on Puppy Sphere’s net income.

Any foreign exchange, conversion, or card issuer fees charged by your bank or card provider are your responsibility.

7. Failed Payments and Delinquent Accounts 

If a payment is declined, reversed, rejected, or otherwise unsuccessful, Puppy Sphere may:

  • retry the payment,

  • use updated card account information provided by your payment network or payment processor,

  • suspend access to Membership benefits,

  • block future bookings,

  • cancel pending reservations,

  • require an alternative payment method, and/or

  • terminate the Membership for non-payment.

A Member remains responsible for all unpaid amounts accrued before cancellation or termination.

Puppy Sphere may condition reinstatement of a suspended Membership on full payment of overdue amounts and successful charging of a valid payment method.

8. Pricing Changes

Puppy Sphere may change Membership pricing, fees, benefits, features, or included Credits from time to time.

Any such change will apply prospectively, not retroactively.

Where required by law, Puppy Sphere will provide advance notice before a pricing change takes effect. Unless cancellation rights are required by law, continued Membership after the effective date of the pricing change constitutes acceptance of the revised pricing.

Promotional pricing, introductory pricing, grandfathered pricing, or special offers may be subject to separate conditions and may expire automatically at the end of the applicable promotional period.

9. Membership Credits 

Each Membership Tier includes the number of Credits stated for that Tier at checkout or in current Membership materials. Unless Puppy Sphere expressly states otherwise:

  • Mini includes 1 Credit per Billing Cycle;

  • Core includes 2 Credits per Billing Cycle; and

  • Max includes 4 Credits per Billing Cycle.

Credits:

  • are issued only while the Membership is active and in good standing,

  • may be used only for eligible Classes designated by Puppy Sphere,

  • are personal to the Member,

  • are non-transferable,

  • are non-refundable,

  • are not redeemable for cash, and

  • expire as stated in these Terms or in the applicable booking rules.

Unless otherwise stated by Puppy Sphere or required by law, Credits do not roll over and any unused Credits expire at the end of the applicable Billing Cycle.

Puppy Sphere may from time to time designate certain Classes, instructors, times, locations, or experiences as excluded from Membership Credits, surcharge-based, premium, or otherwise subject to separate booking rules.

Membership does not guarantee access to any minimum number of available Classes, nor does it guarantee access to any specific class, studio, date, time, breed mix, puppy group, instructor, or location.

10. Reservations, Booking Rules and Attendance

10.1 General Booking Rules

All reservations are subject to availability, scheduling limits, operational needs, studio capacity, health and safety requirements, and applicable Company Policies.

Puppy Sphere may establish and modify booking rules from time to time, including rules relating to:

  • how far in advance a Class may be booked,

  • how many Classes may be reserved at one time,

  • same-day booking limits,

  • cancellation deadlines,

  • late cancellation rules,

  • no-show consequences,

  • guest participation,

  • late arrival restrictions, and

  • studio-specific capacity limits.

10.2 Cancellation of Reservations

Class reservation cancellation deadlines, late cancellation rules, and no-show policies are set by Puppy Sphere and may vary by studio, event type, class type, or location. If a Member cancels after the applicable cancellation deadline or fails to attend, Puppy Sphere may deduct the applicable Credit, impose a booking restriction, or apply another consequence permitted under the applicable booking policy.

10.3 Late Arrival / Refusal of Entry

Puppy Sphere may refuse entry to a late-arriving Member where reasonably necessary for class quality, safety, operational integrity, or animal welfare. In such cases, Puppy Sphere may deduct the applicable Credit, impose a booking restriction, or apply another consequence permitted under the applicable booking policy.

10.4 Company Changes to Reservations

Puppy Sphere may cancel, reschedule, combine, relocate, modify, or limit Classes or reservations where reasonably necessary due to operational requirements, staffing, weather, safety concerns, animal welfare concerns, facility issues, or other legitimate business or risk-management reasons.

11. Membership Pause

Subject to this Section, Puppy Sphere may allow a Member to pause their Membership.

11.1 Eligibility

A Membership may be paused only if:

  • the Account is in good standing,

  • there is no unresolved payment default,

  • no cancellation request for termination at end of term is already pending, and;

  • the pause request complies with Puppy Sphere’s then-current pause procedures.

11.2 Duration and Frequency

Unless Puppy Sphere expressly agrees otherwise:

  • a Membership may be paused for up to two (2) consecutive months,

  • a pause may be used once per Membership term, and

  • pauses may not be applied retroactively.

11.3 Effect of Pause

During an approved pause:

  • recurring billing is temporarily suspended,

  • no new Credits are issued,

  • no active Membership-only discounts or perks apply,

  • Puppy Sphere may restrict booking rights, and

  • existing unused Credits remain subject to the standard expiration rules unless otherwise required by law or expressly stated otherwise by Puppy Sphere.

11.4 Effect on Commitment Plans

For a Commitment Plan, an approved pause extends the applicable commitment period by the length of the pause. A pause does not satisfy, shorten, reduce, or waive the minimum commitment period.

11.5 Resumption

At the end of the approved pause period, the Membership automatically resumes and billing recommences on the original billing date or on a reasonably adjusted date selected by Puppy Sphere to reflect operational or billing realities.

11.6 How to Request

  • Pause requests must be submitted through the account portal or by contacting Guest Support.

  • Requests must be received at least forty-eight (48) hours prior to the next billing date.

  • Pauses cannot be applied retroactively.

11.7 Restrictions

  • Memberships with outstanding balances are not eligible for pause.

  • Memberships may not be paused after a cancellation request has been submitted.

Puppy Sphere reserves the right to deny or revoke a pause request in cases of misuse or abuse.

12. Cancellation By Member 

A Member may cancel a Membership only in the manner authorized by Puppy Sphere, including through the Account portal or by contacting Guest Support through designated channels.

Puppy Sphere may require sufficient identifying information to verify the request before processing cancellation.

12.1 Flexible Plan Cancellations

For a Flexible Plan, cancellation will take effect at the end of the then-current Billing Cycle, provided the cancellation request is received at least forty-eight (48) hours before the next scheduled billing date. If the request is received later than that, the next scheduled charge may still be processed and the cancellation will take effect at the end of the following Billing Cycle, unless otherwise required by law.

12.2 3-Month Commitment Plan Cancellations

For a 3-Month Commitment Plan, cancellation takes effect only at the end of the then-current 3-month commitment period or Renewal Term, as applicable. The Member remains responsible for all fees due through the end of that commitment period or Renewal Term.

12.3 6-Month Commitment Plan Cancellations

For a 6-Month Commitment Plan, cancellation takes effect only at the end of the then-current 6-month commitment period or Renewal Term, as applicable. The Member remains responsible for all fees due through the end of that commitment period or Renewal Term.

12.4 Effect of Cancellation

Upon cancellation:

  • future recurring charges for periods after the effective cancellation date will stop,

  • previously charged amounts remain non-refundable except where required by law,

  • unused Credits may be forfeited at the end of the final active Billing Cycle or Membership term unless otherwise required by law, and

  • Membership discounts, booking rights, and related benefits end when the Membership ends.

13. Refunds; No Proration

Except where required by applicable law:

  • Membership fees are non-refundable once charged,

  • no partial-month or unused-service refund is provided,

  • no prorated refund is available for cancellation during an active Billing Cycle,

  • no refund is provided because a Member failed to use all or part of the Membership, and

  • no refund is provided for unused Credits, missed Classes, scheduling conflicts, travel, illness, relocation, or change of personal circumstances.

For Commitment Plans, early cancellation does not relieve the Member from the obligation to pay the fees due through the end of the applicable commitment period or Renewal Term.

Nothing in these Terms excludes any non-waivable refund rights that may apply under consumer protection laws.

14. Studio Rules; Conduct; Health, Safety, and Animal Welfare

A Member must comply at all times with all Company Policies and all lawful instructions given by Puppy Sphere staff.

Without limitation, Members must not:

  • behave in a disruptive, unsafe, abusive, threatening, or harassing manner,

  • mistreat, mishandle, frighten, provoke, or endanger any puppy or other animal,

  • interfere with staff instructions relating to animal welfare, hygiene, class operations, or participant safety,

  • attend while intoxicated or otherwise impaired,

  • bring prohibited items into the studio,

  • engage in any conduct that Puppy Sphere reasonably considers inappropriate for a puppy-centered environment.

Puppy Sphere may impose health, sanitation, arrival, footwear, food, vaccination-related, handwashing, contact, and handling protocols where reasonably necessary for participant safety, facility operations, or the health and welfare of puppies.

Puppy Sphere may refuse participation, remove a person from a Class or studio, cancel a reservation, or suspend or terminate a Membership where reasonably necessary to protect people, animals, staff, or operations.

15. Suspension, Restriction,or Termination by Puppy Sphere

Puppy Sphere may suspend, restrict, or terminate a Membership, Account, booking privilege, or access to services immediately, with or without prior notice where reasonably appropriate, if Puppy Sphere determines that a Member has:

  • breached these Terms or any Company Policy,

  • failed to make required payments,

  • engaged in fraud, misrepresentation, or chargeback abuse,

  • shared, transferred, resold, or misused Membership benefits,

  • repeatedly late-cancelled or no-showed in a manner constituting abuse,

  • endangered staff, guests, or animals,

  • acted in a manner inconsistent with the intended personal use of the Membership, or

  • otherwise created legal, safety, reputational, or operational risk for Puppy Sphere.

Where a Membership is suspended or terminated under this Section, Puppy Sphere may cancel upcoming reservations and no refund will be owed except where required by law.

16. Chargebacks & Payment Disputes

If you believe a billing error has occurred, you agree to contact Guest Support first and provide Puppy Sphere a reasonable opportunity to review and address the issue.

To the fullest extent permitted by law, if a Member initiates a chargeback, payment reversal, or other payment dispute that Puppy Sphere reasonably believes is improper, Puppy Sphere may:

  • suspend or terminate the Membership,

  • cancel pending reservations,

  • revoke Credits or Membership benefits associated with the disputed payment,

  • refuse future purchases or bookings,

  • recover the disputed amount, and

  • seek recovery of associated bank fees, processor fees, administrative costs, and collection costs where recoverable by law.

This Section does not limit any non-waivable rights a consumer may have to dispute unauthorized or unlawful charges.

17. Program Changes; Service Availability; Studio Changes

Puppy Sphere reserves the right, at any time and from time to time, to modify, replace, suspend, restrict, or discontinue any aspect of the Membership Program, including:

  • pricing,

  • Membership Tiers,

  • included Credits,

  • benefits and perks,

  • participating studios,

  • operating hours,

  • class schedules,

  • class formats,

  • cities, neighborhoods, or venues served,

  • booking rules, and

  • availability of Membership for new or existing customers.

Puppy Sphere may also open, close, relocate, renovate, reconfigure, or cease operating any studio or class location.

Where required by law, Puppy Sphere will provide notice of material adverse changes. Otherwise, commercially reasonable notice may be given where practicable, but immediate changes may be made where necessary for safety, legal compliance, animal welfare, operational necessity, or business reasons.

18. Assumption of Risk; Waivers; Personal Responsibility

Puppy Sphere classes involve physical movement, interaction with animals, group participation, and studio environments with inherent and unpredictable risks.

By attending or participating, each Member acknowledges and accepts the inherent risks associated with:

  • physical activity,

  • interaction with live animals,

  • animal movement and behavior,

  • contact with other participants,

  • slips, falls, or physical strain,

  • allergies, sensitivities, scratches, bites, or other animal-related incidents,

  • and other ordinary risks associated with puppy-centered classes and events.

Each Member is responsible for complying with all instructions, warnings, participation restrictions, health disclosures, and waiver requirements required by Puppy Sphere.

Where Puppy Sphere requires a separate waiver or release, that waiver remains fully applicable in addition to these Terms.

19. Privacy 

Puppy Sphere collects, uses, stores, and discloses personal information in accordance with its privacy policy, as amended from time to time.

By purchasing or using a Membership, you acknowledge that your personal information may be processed for purposes including:

  • account administration,

  • billing,

  • customer support,

  • reservation management,

  • fraud prevention,

  • legal compliance,

  • marketing where permitted by law, and

  • improvement of Puppy Sphere’s services.

You are responsible for reviewing the current privacy policy before using the Membership Program.

20. Intellectual Property 

All content, materials, branding, trademarks, service marks, logos, class concepts, text, graphics, photos, videos, audio, software, site functionality, studio materials, and other intellectual property used in connection with Puppy Sphere and the Membership Program are owned by Puppy Sphere or its licensors and are protected by intellectual property laws.

A Membership grants only a limited, personal, revocable, non-exclusive, non-transferable right to access and use Puppy Sphere’s services for personal, non-commercial purposes in accordance with these Terms.

A Member may not, without Puppy Sphere’s prior written consent:

  • copy, reproduce, republish, distribute, modify, translate, adapt, display, perform, transmit, sell, license, or exploit Puppy Sphere content,

  • use Puppy Sphere’s trademarks, logos, or branding,

  • commercially exploit Classes or class formats,

  • scrape, mine, or extract data from Puppy Sphere systems, or

  • create derivative works based on Puppy Sphere materials or class concepts.

21. Third-Party Services and Payment Processors

Puppy Sphere may use third-party providers for payment processing, scheduling, communications, identity verification, marketing, booking technology, customer support, analytics, or related functions.

Puppy Sphere is not responsible for delays, outages, errors, or failures caused by third-party systems outside Puppy Sphere’s reasonable control, although Puppy Sphere may make reasonable efforts to address related issues.

Use of certain third-party services may also be subject to separate third-party terms.

22. Force Majeure

Puppy Sphere will not be liable for delay, failure, interruption, cancellation, or modification of services resulting from causes beyond its reasonable control, including: severe weather, fire, flood, earthquake, epidemic or pandemic, public health emergency, government order, transportation disruption, labor dispute, utility failure, internet or telecommunications outage, supplier failure, building damage, animal health or welfare concerns, or any other force majeure event.

During such circumstances, Puppy Sphere may suspend billing, suspend services, substitute services, modify operations, reschedule Classes, restrict attendance, or otherwise respond as reasonably necessary.

23. Disclaimer of Warranties

To the fullest extent permitted by law, the Membership Program and all related services are provided on an “as is” and “as available” basis. Puppy Sphere makes no guarantee that:

  • any particular Class, location, schedule, instructor, or experience will always be available,

  • the Membership Program will be uninterrupted or error-free, or

  • the Membership Program will meet every Member’s expectations or preferences.

Nothing in this Section limits any warranty or protection that cannot lawfully be excluded.

24. Limitation of Liability

To the fullest extent permitted by law, Puppy Sphere and its affiliates, officers, directors, employees, contractors, licensors, agents, and representatives will not be liable for any indirect, incidental, special, exemplary, punitive, or consequential damages, including lost opportunity, lost enjoyment, lost data, lost profits, or business interruption, arising out of or relating to the Membership Program, even if advised of the possibility of such damages.

To the fullest extent permitted by law, Puppy Sphere’s aggregate liability arising out of or relating to the Membership Program or these Terms will not exceed the total Membership fees actually paid by the Member to Puppy Sphere during the three (3) months immediately preceding the event giving rise to the claim.

Nothing in these Terms excludes or limits liability that cannot be excluded or limited under applicable law, including certain rights under consumer protection legislation or liability for gross negligence, willful misconduct, or unlawful exclusion where such exclusion is prohibited.

25. Governing Law and Dispute Resolution

These Terms are governed by the laws of the jurisdiction in which the Membership was purchased, without regard to conflict of laws principles, and subject always to any mandatory consumer protection laws that apply and cannot lawfully be waived.

Any dispute arising from or relating to these Terms, the Membership, or the Membership Program shall be brought in the courts of the applicable governing jurisdiction, unless applicable law requires otherwise.

26. Changes to These Terms

Puppy Sphere may amend these Terms from time to time.

Updated Terms may be posted on Puppy Sphere’s website, made available through the Account portal, or otherwise communicated to Members. Changes will take effect on the date stated in the updated Terms, unless a later date is required by law.

Where required by applicable law, Puppy Sphere will provide advance notice of material amendments and any related rights of cancellation or refusal.

A Member’s continued use of the Membership after the effective date of updated Terms constitutes acceptance of the revised Terms to the extent permitted by law.

27. General Provisions

If any provision of these Terms is held invalid, illegal, or unenforceable, the remaining provisions will remain in full force and effect to the maximum extent permitted by law.

Puppy Sphere’s failure to enforce any provision of these Terms is not a waiver of that provision or of any other provision.

A Member may not assign or transfer these Terms or any Membership rights without Puppy Sphere’s prior written consent. Puppy Sphere may assign these Terms in connection with a corporate reorganization, financing, sale of assets, merger, acquisition, or similar transaction.

These Terms, together with the incorporated Company Policies and the specific Membership details presented at checkout, form the entire agreement between Puppy Sphere and the Member regarding the Membership Program and supersede prior discussions or understandings relating to that subject matter.
